An organised corporate legal file

The Quirós & Quirós incorporation package brings together the corporate documents listed in this guide to organise your Panamanian corporation (sociedad anónima). The proposal defines the work according to the client, the company’s structure and its planned activity.

Incorporation and the procedures needed to begin commercial activity have different scopes. Subsequent tax, accounting and commercial services and permits are quoted separately according to the activity.

Registered articles and incorporation deed

The articles set out formation provisions including the company’s name, objects, capital and organisation within the framework of Panama’s Law 32 of 1927. The registered public deed contains the articles; they are presented as one component of the file, not as two separate originals.

A certificate issued by the Public Registry is a different document. It is not included in the basic package and carries an additional cost. Keep subsequent amendments to the incorporation documents as well.

Share Register and share certificates

The package includes the Share Register and share certificates. The register records information about shares and their holders; certificates are separate documents that must be consistent with the corresponding issues and entries.

Later transfers, new issues or other changes require review of supporting documents and necessary updates. That subsequent work is defined in a separate engagement.

Corporate Minute Book and initial organisation

We deliver the Corporate Minute Book, intended to record resolutions of the company’s governing bodies, such as the shareholders’ meeting and board of directors. Where applicable, the package includes an initial organisational resolution recording share issues, appointments and basic authorisations.

This initial organisation does not include preparing all future minutes. Subsequent decisions and corporate maintenance are quoted according to the work required.

Company obligations information sheet

The sheet explains general obligations such as the annual company fee (tasa única), resident agent, maintenance of records and documents, and updating information. It helps the client understand matters requiring attention after incorporation.

It does not replace accounting records, supporting transaction documents or a tax review of the activity. Records must be kept in accordance with Panamanian rules; describing the books delivered does not mean every company must necessarily use a physical notebook. The scope and period of resident agent services are specified in the proposal.

Digital file and document handover record

We organise the corporate digital file in PDF format to facilitate consultation. Digital copies are distinguished from the originals or other formats applicable to each document.

The handover record lists exactly what the client received. It identifies the documents and their format without implying that procedures outside the package have been completed.

Procedures quoted separately

The Public Registry certificate is quoted separately because of its additional cost. The RUC and DGI registration, as well as the NIT or tax account access, are separately quoted as accounting or tax services.

The basic price also excludes the Operating Notice (Aviso de Operación), municipal registration, CSS procedures, special permits, bank account opening, accounting and other subsequent procedures. Relevant steps are determined by the activity and the client’s needs.

Professional fees are proposed for each engagement according to its scope. The proposal distinguishes the corporate package from additional services before the engagement is agreed.

An incomplete file does not allow unsubstantiated resolutions or entries to be treated as valid. The records are identified first, then the necessary work is defined.

Frequently asked questions

Does the package include share certificates?

Yes. It includes the Share Register and share certificates, which serve different functions in the corporate file.

Does it include a Public Registry certificate?

No. The registered incorporation deed is included; a Public Registry certificate is a different document and is quoted separately because it carries an additional cost.

Does delivery include all future minutes?

No. It includes the Corporate Minute Book and, where applicable, the initial organisational resolution. Subsequent minutes and corporate maintenance are quoted separately.

Does incorporation include the RUC, NIT and operating permits?

No. The RUC and DGI registration, NIT or tax account access, permits and other subsequent procedures are quoted separately according to the activity and engagement.

How is receipt of the documents recorded?

The document handover record lists what was received. A corporate digital file organised in PDF format is also delivered.
