Forming a company in Panama: requirements, costs and first steps
To form a company, start by defining the activity, who will participate and what you will need after registration. Compare the cost of incorporation with maintenance and getting the business up and running.

Describe what you will sell or what service you will provide, where you will work, who the owners will be and how it will be financed. Indicate whether there will be employees, premises, partners outside Panama or property held in the entity’s name. This information allows a structure to be evaluated before documents are prepared.
Incorporating a company and obtaining authorization for a commercial activity are separate procedures. Panamá Emprende administers the Notice of Operation; some activities require review by their regulatory authority. The consultation should identify which procedures apply to the project, without assuming that registering the company allows any business to begin.
What information should I bring to request a quotation?
Prepare possible names, a specific description of the activity and details of the people who will participate as owners or managers. Indicate the expected source of funds, the contact address and whether anyone will sign from abroad.
This is a list for starting the consultation, not a universal list of registration requirements. Identification, supporting and due diligence documents are specified according to the structure and participants. Share personal documents through the channel agreed with the firm.
How much does it cost to form a company in Panama?
The quotation should separate incorporation fees, notarial and registry expenses, applicable taxes and additional services. Ask it to indicate which items are included, which are estimates and which are paid to third parties. Do not compare only the advertised total.
It is also useful to ask about the resident agent, accounting, returns and subsequent permits. A proposal covering incorporation alone may have a different scope from one that includes startup procedures. At Quirós & Quirós, the scope and fees are agreed after reviewing the project.
Which payments recur after incorporation?
Separate the initial cost from annual expenses and those that depend on the activity. The DGI states an annual flat tax of B/.300 for corporations; that item is not the total maintenance cost and does not describe every type of entity or regime.
Request a calendar identifying who is responsible for each task: resident agent, accounting information, returns and applicable permits. Verify the dates and balances of the specific entity; do not use the date of this guide as a due-date reminder.
What if the company is not yet issuing invoices?
A lack of activity should not be confused with the disappearance of obligations. The DGI states that a company without operations must provide its resident agent with the information required by article 6 of Executive Decree 177 of 2024. The entity’s status and applicable obligations must also be reviewed.
If you already have a company, bring its articles of incorporation, amendments, resident agent details and available records. Explain whether it holds assets, accounts, contracts or debts. Forming another entity does not automatically resolve the previous one’s outstanding matters.
How long does it take and what will I receive when it is finished?
The schedule depends on having complete information, signatures, any comments raised during review and the procedures included. Request an estimate for each stage and distinguish the firm’s work from the time taken by institutions or third parties.
Before engaging the firm, clarify which documents you will receive, how registration will be verified, which steps remain outstanding and who will follow up. Opening a bank account involves its own assessment; it should not be presented as an automatic result of incorporating the company.
A simple way to compare two proposals
Review both using the same questions: what structure is proposed and why? What does the first payment include? Which expenses are excluded? What will need to be paid the following year? Who holds and delivers the documents? Which permit or registration is still needed for the activity?
