What we can review
The first step is to understand the entity’s records and who is authorized to give instructions. Incomplete files, a change of management or outstanding obligations require a specific review before steps can be proposed.
Corporate records
We review available deeds, certificates, minutes and powers of attorney. We identify gaps and organize the records supporting corporate decisions.
Changes and representation
We examine instructions for changes to directors, officers, authority or formation documents, as appropriate. Work included in the engagement is prepared after its requirements are checked.
Resident agent
We study a request to appoint or replace an agent, the entity’s history and the information needed before accepting and defining this service.
Outstanding matters
We organize corporate issues and requests received. Legal work is distinguished from accounting, payments and other tasks to be coordinated with the appropriate person.

How the initial review works
The first conversation establishes the entity’s situation and requested actions. A proposal distinguishes any initial work to address outstanding issues from subsequent support, identifies missing documents and clarifies responsibility for each task. Sending documents alone does not establish an engagement.

Does maintenance include every payment and filing?
Each service must be specified in the proposal. Legal assistance is not presumed to include accounting, returns or payments to third parties.
Can I consult if minutes or certificates are missing?
Yes. Explain which records you hold and who managed the entity. The initial review identifies the information needed to reconstruct and examine the file.
